Warranty Statement
1. Governing Law
This Limited Warranty is governed by and construed under the laws of the State of Iowa.
2. Warranty Coverage
Integrated Treatment Systems, LLC (“ITS”) warrants its products against defects in materials and workmanship under normal use until the end of the twelfth (12th) month from the date of shipment from our facility (the “Warranty Period”). This warranty extends only to the original purchaser of the product and is not transferable.
3. Warranty Remedies
If a defect arises and a valid claim is received within the Warranty Period, ITS will, at its option and to the extent permitted by law, for any ITS-manufactured device that is returned and confirmed by ITS to be non-conforming to the product specifications and/or the applicable quality and acceptability standards, elect one of the following remedies:
(I) Repair the product at no charge;
(II) Replace the product at no charge; or
(III) Issue a credit equal to the original purchase price of the product.
When a product is exchanged, any replacement item becomes the customer’s property and the replaced item becomes ITS’s property. When a refund is given, the product for which the refund is provided must be returned to ITS and becomes ITS’s property.
4. Return Authorization
No product may be returned to ITS without prior return authorization. Customers must contact ITS to obtain a Return Material Authorization (RMA) number before shipping any product. Products received without a valid RMA number may be refused. The customer is responsible for all shipping costs to return the product to ITS. ITS will bear the cost of shipping repaired or replacement products to the customer.
5. Customer Obligations
To obtain warranty service, the customer must: (A) contact ITS to report the issue and obtain an RMA number; (B) assist in diagnosing the issue by providing photographs, system configuration details, operating conditions, and any other information reasonably requested by ITS; (C) follow ITS warranty processes and any troubleshooting instructions provided; and (D) return the product in its original or equivalent packaging with the RMA number clearly marked on the outer packaging.
6. Right to Repair
ITS supports the customer’s right to repair. Customers are permitted and encouraged to perform field-level repairs, maintenance, component replacements, and recalibrations on ITS products. Such activities, whether performed by the customer independently or with guidance from ITS, shall not void or diminish this warranty, provided that the repair is performed in a workmanlike manner consistent with the product’s specifications and does not introduce damage beyond the scope of the original issue. ITS will make reasonable efforts to provide technical guidance, documentation, and replacement component availability to support customer-performed repairs.
7. Warranty Exclusions
This Limited Warranty does not apply:
(A) To damage caused by use with non-ITS products, except where such use is consistent with the product’s specifications or documentation;
(B) To damage caused by accident, abuse, misuse, flood, fire, earthquake, or other external causes;
(C) To damage caused by use of the product outside the permitted or intended uses described in the product specifications;
(D) To damage caused by service, modification, or repair performed by any party other than ITS or the customer, unless such service was performed with the prior written authorization of ITS;
(E) To a product or part that has been modified to alter functionality or capability without the written permission of ITS, except for repairs and maintenance permitted under Section 6 of this warranty;
(F) To cosmetic damage, including but not limited to scratches or dents, that does not otherwise affect the product’s functionality or materially impair its use; or
(G) To third-party components integrated into ITS products, which are covered only to the extent of the original component manufacturer’s warranty. ITS will make reasonable efforts to assist the customer in pursuing warranty claims with the applicable third-party manufacturer.
8. Limitation of Liability
ITS’s total cumulative liability arising under this warranty, whether in contract, tort, or otherwise, shall not exceed the original purchase price paid by the customer for the product giving rise to the claim. ITS will not accept liability for any cost in addition to the value of the product, including but not limited to components, labor, business interruptions, process performance impacts, and any other consequential damages or losses.
9. Disclaimer of Warranties
To the extent permitted by law, this warranty and the remedies set forth above are exclusive and in lieu of all other warranties, remedies, and conditions, whether oral or written, statutory, express, or implied. As permitted by applicable law, ITS specifically disclaims any and all statutory or implied warranties, including, without limitation, warranties of merchantability, fitness for a particular purpose, and warranties against hidden or latent defects.
10. Exclusion of Damages
Except as provided in this warranty and to the extent permitted by law, ITS is not responsible for direct, special, incidental, or consequential damages resulting from any breach of warranty or condition, or under any other legal theory, including but not limited to: loss of use; loss of revenue; loss of actual or anticipated profits (including loss of profits on contracts); loss of the use of money; loss of anticipated savings; loss of business; loss of opportunity; loss of goodwill; loss of reputation; loss of, damage to, or corruption of data; or any indirect or consequential loss or damage howsoever caused, including the replacement of equipment and property, and any costs of recovering, programming, or reproducing any program or data stored or used with ITS products. ITS disclaims any representation that it will be able to make a product exchange without risk to or loss of programs or data.
11. Severability
If any term of this warranty is held to be illegal or unenforceable, the legality or enforceability of the remaining terms shall not be affected or impaired.
12. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to this warranty, or the breach, termination, or invalidity thereof, shall be resolved by binding arbitration administered in Polk County, Iowa, in accordance with the rules of the American Arbitration Association then in effect. The arbitrator’s decision shall be final and binding, and judgment upon the award rendered may be entered in any court having jurisdiction thereof. The arbitrator shall award to the prevailing party its reasonable costs and attorney’s fees incurred in connection with the arbitration. For purposes of this provision, the prevailing party is the party that substantially obtains the relief it sought, as determined by the arbitrator.
